Introduction and Agreement to Terms

Bre Care Nursing Inc. provides professional nursing-care consulting services, including but not limited to healthcare strategy consulting, nursing staff development and training, quality assurance and accreditation support, regulatory compliance management, clinical operations optimization, and patient care excellence programs. Our Services are designed to assist healthcare organizations in improving the quality of nursing care, achieving operational efficiencies, and maintaining compliance with applicable healthcare regulations and standards.

The nature, scope, and terms of any specific consulting engagement will be set forth in a separate written agreement between the Company and the client. These Terms govern your general use of our website and your interactions with us, but the specific deliverables, timelines, fees, and obligations for consulting projects will be governed by individual engagement agreements. No consulting relationship is formed solely by your use of our website or submission of an inquiry through our contact forms.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, including the availability of any feature, database, or content, without prior notice or liability. Fees, Payment, and Billing

Our website and general information materials are provided free of charge. However, professional consulting services are provided on a fee-for-service basis. The specific fees, payment terms, and billing arrangements for any consulting engagement will be set forth in a separate engagement agreement between the Company and the client. All fees quoted are in Canadian dollars unless otherwise specified, and are exclusive of applicable taxes, which will be added to your invoice where required by law.

Unless otherwise agreed in writing, payment for consulting services is due within thirty days of the invoice date. Late payments may be subject to interest charges at the rate of 1.5 percent per month, or the maximum rate permitted by applicable law, whichever is lower. We reserve the right to suspend or terminate our consulting services if payment is not received when due. Any costs incurred by the Company in collecting overdue amounts, including reasonable legal fees, shall be payable by the client.

Disclaimers and Limitation of Liability

Any reliance you place on such information is strictly at your own risk. Any fees paid prior to termination are non-refundable unless otherwise specified in the applicable engagement agreement.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to their conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be subject to the exclusive jurisdiction of the competent courts located in Vancouver, British Columbia, Canada.

Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at assist@brecare.lat and providing a detailed description of your concern. We will make reasonable efforts to resolve the dispute amicably within thirty days of receiving your notice. If we are unable to resolve the dispute informally, either party may pursue its claims through the appropriate legal channels. Any claim or cause of action you may have with respect to our website or Services must be commenced within one year after the claim or cause of action arises.

Entire Agreement and Severability

These Terms, together with our Privacy Policy and any applicable engagement agreement, constitute the entire agreement between you and Bre Care Nursing Inc. with respect to the subject matter hereof and supersede all prior or contemporaneous understandings and agreements, whether written or oral, with respect to such subject matter. No waiver by the Company of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms will continue in full force and effect. The invalidity of any provision shall not affect the validity or enforceability of any other provision of these Terms.

Changes to These Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes, we will notify you by posting the updated Terms on our website and updating the date at the top of this page. We may also, at our discretion, provide additional notice by sending an email to the email address we have on file for you or by displaying a prominent notice on our website.

Your continued use of our website and Services after the revised Terms become effective constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must discontinue using our website and Services. We recommend that you review these Terms periodically for any changes. Neither party shall be liable for any failure or delay in performance under these Terms (other than for delay in the payment of money due and payable hereunder) for causes beyond that party reasonable control and occurring without its fault or negligence, including but not limited to acts of God, acts of government, floods, fires, earthquakes, civil unrest, acts of terror, strikes or other labor problems, failures or delays of common carriers or suppliers, or Internet or telecommunications service interruptions or failures.

Dates by which performance obligations are scheduled to be met will be extended for a period of time equal to the time lost due to any delay so caused. If any such force majeure event continues for more than sixty days, either party may terminate the affected engagement or Services by providing written notice to the other party.
